FRAMTRADE LIMITED trading as FRAMGAS

These Conditions set out the terms on which FRAMTRADE LIMITED (we, us and our) supply goods to its customers (you and your). Please read these Conditions carefully before you submit your order to us.

These Conditions are set out in three parts:

  • Part 1: terms which apply to both business customers and consumers
  • Part 2: terms which apply only to consumers
  • Part 3: terms which apply only to business customers

You are a consumer if you are an individual buying goods wholly or mainly for personal use, not in connection with a trade, business, craft or profession.

Part 1: Terms Applying to Both Business Customers and Consumers

1. Information About Us

2. Basis of Contract

  • A contract comes into existence when you accept our quote and confirm your order
  • If we cannot accept your order, we will inform you and will not charge you
  • These Conditions apply to every supply of goods and cannot be varied without our prior written consent
  • Any quotation is valid until 4pm on the day it is given
  • Our website is for UK orders only — we cannot deliver outside the UK
  • By placing an order you confirm you are legally capable of entering into contracts, are at least 18 years old, and will abide by all safety instructions provided
  • The Gas Safety (Installation and Use) Regulations 1998 require all gas work to be carried out by a competent person, in most cases Gas Safe registered. We recommend using an LPG qualified Gas Safe registered installer

3. Charges and Payment

  • All prices are normally exclusive of VAT, which will be added at the applicable rate
  • Payment must be made by cash or debit/credit card on or before supply, unless you hold a credit account with us
  • An administration charge of £2.55 will be added where applicable

4. Payment Default

If you fail to pay by the due date, we may:

  • Charge interest at 3% per annum above Lloyds Bank base rate, calculated daily and compounded every 30 days
  • Charge all expenses and costs incurred as a result of the default, including storage, debt collection and legal costs
  • Suspend or cease supply of goods
  • Terminate any contract with you by written notice

5. Ownership of Goods

You will not own any goods supplied by us until you have paid for them in full.

6. Responsibility for Goods

  • You are responsible for all goods — including any loss, theft or damage — from the time of delivery
  • Where cylinders are supplied, you must notify us immediately of any defect or fault, and comply with all applicable LPG safety regulations
  • Cylinders remain the property of the supplier at all times and may only be refilled by them or their authorised contractors

7. Performance of Contract

  • All delivery dates are estimates only and are not contractual commitments
  • You must return all packaging materials (including cylinders) or make them available for collection
  • You must ensure someone is available to receive delivery and that suitable access is provided
  • If we fail to deliver, our liability is limited to the cost of obtaining equivalent replacement goods in the cheapest available market, less the price of the goods
  • If you fail to take delivery, we may resell the goods and account to you for any excess, or charge you for any shortfall
  • We may deliver goods by instalments, each invoiced and paid for separately

8. Data Protection

We comply with the General Data Protection Regulations and Data Protection Act 2018. Our Data Protection Policy is available at www.framtrade.co.uk.

9. Your Responsibilities

If you fail to provide necessary information or materials required to deliver the goods, you remain liable for full payment of our fees.

10. Liability

  • Goods are provided as supplied by the manufacturer. We make no warranty as to their quality or suitability
  • Our liability is reduced to the extent you cause or contribute to the loss or damage
  • We are not liable for loss of profit, business interruption, loss of goodwill, consequential, indirect or special damages
  • Our maximum liability is limited to the replacement, repair or equivalent reimbursement of the goods
  • Nothing limits our liability for death or personal injury caused by our negligence, fraud, or any liability which cannot be excluded by law

11. Cancellation

If circumstances beyond our reasonable control prevent delivery, we may cancel your order by written notice.

12. Governing Law

These Conditions are governed by the laws of England and Wales. The parties submit to the jurisdiction of the English courts.


Part 2: Terms Applying Only to Consumers

13. How to End Your Contract

  • Contact us by phone or email (see clause 1)
  • We will refund you for any goods paid for but not delivered, less any amounts owed or deductions for goods already supplied

14. Our Rights to End Your Contract

We may end your contract by writing to you if you:

  • Fail to pay within 7 days of a reminder
  • Fail to provide necessary information within a reasonable time
  • Fail to allow us access to deliver

15. Consequences of Termination

  • We will refund money paid in advance for goods not provided, subject to deductions
  • You must return all goods not fully paid for — until returned, you are solely responsible for their safe keeping

16. Your Legal Rights

17. Our Responsibility for Loss or Damage

  • We are responsible for foreseeable loss or damage resulting from our failure to comply with your contract or use reasonable care and skill
  • We do not exclude liability for death or personal injury caused by negligence, or for fraud
  • Our total liability is limited to 100% of fees and charges paid or payable by you

18. Right to Change Your Mind

  • You have 14 days from placing your order to change your mind and receive a refund
  • This right does not apply to goods that become mixed inseparably with other items after delivery

Part 3: Terms Applying Only to Business Customers

19. Basis of Contract

Where you have a rolling contract, we will supply goods until the subscription expires or the contract is terminated in accordance with these Conditions.

20. Charges and Payment

If you exceed your approved credit terms, a £50.00 late payment fee will be charged together with interest as set out in clause 4. A revised invoice will be issued.

21. Ownership of Goods

  • Title and property in all goods remains vested in us until full payment is received
  • You must hold the goods as fiduciary bailee and agent for us, keeping them separate and maintaining their labelling and packaging
  • We may, without notice, enter any premises where we reasonably suspect the goods are held and remove them
